1. Agreement
These Terms of Use ("Terms") govern access to and use of the Odocto platform and related services (together, the "Platform") offered by the Odocto operator ("Odocto", "we", "us", "our").
By creating an account, accessing, or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
2. The Platform is a marketplace
Odocto provides software and infrastructure that helps patients discover practitioners, request or manage appointments, and exchange operational messages related to care coordination. Independent practitioners and, where applicable, their organisations, are responsible for the professional services they deliver.
Nothing on the Platform constitutes medical advice, diagnosis, or treatment from Odocto. Any clinician–patient relationship is between you and the practitioner. Odocto does not practise medicine.
3. Accounts and eligibility
You must provide accurate information and keep your credentials confidential. You are responsible for activity under your account unless you notify us of unauthorised use without undue delay.
You must meet the minimum age and legal capacity required in your jurisdiction to enter into these Terms. Practitioner accounts may be subject to additional verification or eligibility requirements communicated during onboarding.
4. Acceptable use
You agree not to misuse the Platform. Without limitation, you must not: violate law or third-party rights; attempt to access data or systems without authorisation; interfere with the integrity or performance of the service; scrape or harvest data in bulk without permission; upload malware; impersonate others; or use the Platform to transmit unlawful, defamatory, harassing, or discriminatory content.
We may investigate suspected violations and cooperate with law enforcement where permitted.
5. Intellectual property and licence
Odocto and its licensors retain all rights in the Platform, including software, branding, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose.
You retain rights in content you submit. You grant Odocto a licence to host, process, transmit, and display such content as reasonably necessary to operate and improve the Platform and to comply with law.
6. Third-party services and fees
The Platform may integrate or link to third-party services (for example maps, payments, or communications). Those services are governed by their own terms and privacy notices. Where paid plans or paid features exist, pricing and billing terms are presented at purchase.
7. Disclaimers
The Platform is provided on an "as is" and "as available" basis to the fullest extent permitted by applicable law. We disclaim implied warranties such as merchantability, fitness for a particular purpose, and non-infringement where disclaimers are permitted.
We do not warrant uninterrupted or error-free operation, or that defects will be corrected. Availability may depend on factors outside our control.
8. Limitation of liability
To the fullest extent permitted by applicable law, Odocto and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, or data, arising out of or related to your use of the Platform.
To the fullest extent permitted by applicable law, our aggregate liability for claims arising out of or related to the Platform in any twelve-month period is limited to the greater of (a) the fees you paid to Odocto for the Platform in that period, if any, or (b) one hundred (100) units of the lawful currency in which fees are predominantly billed, unless a different mandatory minimum applies in your jurisdiction.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted.
9. Suspension and termination
We may suspend or terminate access to the Platform if we reasonably believe you have violated these Terms, pose a security risk, or must do so to comply with law. You may stop using the Platform at any time. Provisions that by their nature should survive will survive termination.
10. Governing law, disputes, and changes
These Terms are governed by the laws applicable to the Odocto operator, without regard to conflict-of-law rules that would result in the application of the laws of another jurisdiction, except where mandatory consumer protections require otherwise.
Disputes should first be addressed through the contact channels we provide. Where permitted, courts with jurisdiction over the Odocto operator have exclusive venue, subject to any non-waivable rights you may have.
We may modify these Terms. We will post the updated Terms and change the "Last updated" date. For material changes, we may provide additional notice where appropriate. Continued use after changes become effective constitutes acceptance unless applicable law requires express consent.
